1. Acceptance of Terms

By accessing, purchasing from, or using any services or products from Nexworx Computing LLC ("Nexworx", "we", "our"), you agree to these Terms of Service. If you do not agree, do not use or purchase our products or services.

2. Scope of These Terms

These Terms apply to:

• ● Commercial/B2B purchases
• ● Custom-built workstations and servers
• ● Consulting, support, and extended service offerings

If specific offerings include additional terms ("Offering-Specific Terms"), those will apply in addition to this document.

3. Orders, Quotes & Modifications

3.1 Quotes

Quotes provided by Nexworx are valid only for the period explicitly stated. Prices, components, and availability may change before the order is accepted.

3.2 Order Acceptance

An order is considered accepted only after payment is confirmed or after explicit written confirmation from Nexworx. We may decline or cancel an order at our discretion.

3.3 Changes to Orders

For custom systems, once production begins, changes may not be possible. If possible, changes may incur additional costs.

4. Pricing, Payments & Taxes

• ● Prices are shown in USD and may change without notice.
• ● Payments are due upfront unless a separate written agreement exists.
• ● Applicable taxes, duties, and fees are the responsibility of the customer.
• ● For B2B clients with approved terms, payments must be made according to the agreed terms.

Failure to pay may result in order cancellation or collection actions.

5. Shipping, Delivery & Risk of Loss

• ● Delivery dates are estimates , not guarantees.
• ● Risk of loss transfers to the customer when the product is handed to the carrier.
• ● Inspect all items upon delivery and report issues within 48 hours .

Nexworx is not responsible for delays caused by carriers, supply chain issues, or events outside our control.

6. Returns & Refunds

6.1 Standard Return Policy

Most non-custom products may be returned within 30 days if in original condition. A restocking fee (10–20%) may apply.

6.2 Custom-Built Systems

All custom-built workstations and servers are non-refundable except in cases of manufacturing defect.

7. Warranty

7.1 Standard Limited Warranty

Nexworx provides a 1‑year hardware warranty covering defects in materials or workmanship. Extended plans may be available.

Warranty does not cover:

• ● Accidental or physical damage
• ● Unauthorized repairs or modifications
• ● Software issues not directly related to Nexworx-installed hardware
• ● Data loss or recovery

7.2 Warranty Claims

Customers must provide serial number, invoice, and diagnostic details when opening a claim.

8. Software & Licensing

Any software supplied with hardware is subject to third‑party licensing terms. Customers are responsible for compliance.

Nexworx is not responsible for software failures, corrupted installations, or data loss.

9. Customer Responsibilities

• ● Use hardware safely and keep backups regularly.
• ● Not use our products for unlawful or high‑risk activities without proper redundancy.
• ● Maintain secure environments to avoid data loss.

Nexworx is not liable for business interruption, lost data, or consequential damages.

10. Limitations of Liability

To the fullest extent permitted by law:

• ● Nexworx is not liable for indirect, incidental, exemplary, punitive, or consequential damages.
• ● Our total liability is limited to the amount paid for the specific product or service giving rise to the claim.

11. Arbitration & Dispute Resolution

Disputes shall be resolved through binding individual arbitration under the rules of the American Arbitration Association (AAA), in the state of Texas.

Customers waive the right to:

• ● Participate in class actions or class arbitration

12. Export Compliance

Customers agree to comply with all applicable U.S. export laws, including restrictions on embargoed nations, prohibited end‑users, or restricted activities.

13. Offering-Specific Terms

Certain products (such as high-performance workstations, servers, consulting services, or extended warranties) may include additional terms. Those terms supersede this document in case of conflict.

14. Changes to Terms

We may update these Terms at any time. Continued use of our products or services constitutes acceptance of the revised Terms.
